Partner Program Terms
Version 1.1 · Effective October 25, 2026
These Partner Program Terms ("Terms") apply to the Xeaura Partner Program (the "Program") between Xeaura ("Xeaura," "we") and each partner ("Partner," "you"). You accept them when you apply. If anything on xeaura.com/partners, in the partner portal, or in an email differs from these Terms, these Terms control.
1. The referral relationship
1.1 You introduce businesses to Xeaura. Xeaura alone decides whether to work with a business and handles every conversation, proposal, price, agreement, payment, website build, and client relationship.
1.2 You're an independent referral partner — not an employee, agent, or representative of Xeaura. These Terms don't create an employment, agency, partnership, or joint-venture relationship.
1.3 You may not quote, negotiate, or promise Xeaura prices, discounts, timelines, results, or features; make commitments or sign anything on Xeaura's behalf; collect money for Xeaura; or present yourself as Xeaura or as part of the Xeaura team.
2. Applying and approval
2.1 You apply at xeaura.com/partners and accept these Terms when you apply. Xeaura records the version you accepted and when.
2.2 Every application starts as pending, and nothing is active until Xeaura approves it. Xeaura reviews each application and may approve or reject it. A rejected application stays in Xeaura's records but has no Program access.
2.3 When you're approved, you receive a personal referral code and link by email, and access to a partner portal that you sign in to with one-time email links (there's no password).
3. Referrals
3.1 Link referrals. When someone opens your referral link, their browser remembers your code for 90 days in that same browser, using local storage (not a cookie). If, within that time and in that browser, the business submits its first Get Started application or homepage contact request to Xeaura, the referral is recorded to you. Opening Xeaura on a different device or browser, clearing browser storage, or waiting more than 90 days means the code isn't sent. If a browser has opened more than one partner link, the first one is remembered.
3.2 Book-a-Call. Requests made through Xeaura's Book-a-Call form aren't attributed automatically. Xeaura can credit such a referral to you manually under Section 3.5 once the business has a Get Started application or contact request on file.
3.3 One owner per business. Referrals are tracked by the business's email address. The first valid referral submission for an email address establishes which partner owns the referral; a later link from any partner, including the same partner, doesn't change it.
3.4 Existing prospects and clients. A business whose email address was already in Xeaura's records (an application or contact request) before it submitted through your link isn't recorded as a new referral automatically. There's no historical backfill: you aren't credited for a business's contact with Xeaura that happened before you were approved.
3.5 Manual crediting and correction. Where there's a legitimate referral relationship that your link didn't capture — for example an email introduction, a Book-a-Call request, or a known prospect you introduced — Xeaura may credit the referral to you manually, or correct which partner owns it. Only Xeaura's owner can do this; each manual credit or correction requires an internal note explaining why and is recorded in Xeaura's audit log. It's only possible for a business that first contacted Xeaura after you were approved, and never once a commission exists for that referral. Whether to credit a referral manually is Xeaura's decision.
3.6 Self-referrals. You can't refer yourself or your own business. A submission made with the same email address as your partner account is never recorded as your referral, and Xeaura can't manually credit you with your own email address. If Xeaura learns that another referral is your own business, it may decline to credit it or cancel an unpaid commission for it.
3.7 While your partnership is suspended, your link doesn't record new referrals.
4. Commission
4.1 What earns commission. Only the one-time Website Setup fee actually paid to Xeaura by a business referred to you — once per client. If the client pays that fee in monthly parts with nothing down, each part earns commission once it's paid, and so does a single charge of the parts not yet paid if the client's plan ends early.
4.2 What doesn't. Website Only, Website Management (monthly) fees, add-ons, hourly or change-request work, buyouts, taxes, third-party costs, and any other charges never earn commission.
4.3 Amount. Your commission is your rate multiplied by the Website Setup fee received, in U.S. dollars, rounded to the nearest cent (half a cent rounds up). It's calculated on no more than the standard Website Setup price, currently $2,499. A partial refund recorded before the commission becomes eligible lowers the amount it's calculated on. For a fee paid in parts, each part's commission is your rate multiplied by that part, and all the parts together are calculated on no more than the standard Website Setup price.
4.4 Rates. Your rate depends on how many successful clients you've had — referrals whose commission became eligible and wasn't cancelled (a client who pays in parts counts once): 10% for your 1st and 2nd successful clients, 12.5% for your 3rd and 4th, and 15% for your 5th and every one after. Your third successful client earns 12.5%, and your fifth earns 15%. On the standard $2,499 fee that's $249.90, $312.38, or $374.85. These examples aren't a promise of any amount.
4.5 Rate lock. A commission's rate and amount are locked when it becomes eligible and never change afterwards — including when you later reach a higher rate. For a fee paid in parts, the rate locked on the first part applies to every later part.
5. Eligibility, review, and payment
5.1 Website launch. "Launch" means the day Xeaura deploys the referred client's website to production so it's live on the web — the "launch day" in the client's Xeaura service agreement — as recorded by Xeaura.
5.2 Eligibility. A commission becomes eligible for Xeaura's review when all of these are true: the referral is recorded to you; the client has paid the full Website Setup fee agreed with Xeaura (for a fee paid in parts, the part the commission is on); the website has launched; no chargeback is recorded on the setup payment; and your partnership is approved (not suspended).
5.3 Review, approval, and payment. Xeaura's owner reviews each eligible commission and must approve it before it's paid. Approved commissions are paid by direct transfer made outside the xeaura.com website; Xeaura then records the payment — the amount, the date, the method (Direct Transfer), and an optional confirmation note. There's no automatic payout date, payment isn't instant, and nothing in the Program guarantees any earnings.
5.4 Payment details are arranged directly between you and Xeaura. The xeaura.com website never asks for or stores bank account, card, or login details.
5.5 Xeaura doesn't pay commission on money it hasn't received.
6. Refunds and chargebacks
6.1 Before payout, a qualifying refund or chargeback cancels the unpaid commission. Qualifying means: any chargeback on the setup payment; a refund of the full Website Setup fee; or any refund recorded after the commission has become eligible. A partial refund recorded before the commission becomes eligible doesn't cancel it; it lowers the amount (Section 4.3). For a fee paid in parts, any refund or chargeback of the payment that carried a part cancels that part's unpaid commission; the other parts' commissions aren't affected.
6.2 After payout. A paid commission stays permanently recorded. If a refund or chargeback is recorded after a commission was paid, it's added to Xeaura's records, the commission is flagged for Xeaura's review, and Xeaura will contact you about how it will be resolved.
6.3 Xeaura may cancel an unpaid commission that was obtained in breach of these Terms. Cancelled commissions stay in Xeaura's records; commission history is never deleted.
7. How you represent Xeaura
7.1 Be truthful about Xeaura, and describe its services and prices only as they appear on xeaura.com.
7.2 When you recommend Xeaura publicly, make it clear that you're a Xeaura partner and may earn a commission. If you link to Xeaura from a website, add rel="sponsored" to the link.
7.3 Don't send spam or unsolicited bulk messages; don't make deceptive claims; don't impersonate Xeaura or represent yourself as Xeaura; don't promise prices, discounts, or results; and don't enter into or imply any agreement on Xeaura's behalf. Partners don't negotiate Xeaura's pricing.
7.4 You're responsible for making sure your own promotion follows the laws that apply to it.
8. Suspension
8.1 Xeaura may suspend a partnership at any time, including for a breach of these Terms, suspected abuse, or conduct that could harm Xeaura's reputation. You can ask Xeaura to suspend your partnership at any time by emailing contact@xeaura.com.
8.2 While a partnership is suspended: its link doesn't record new referrals, pending commissions don't become eligible, and partner portal sign-in is disabled. Historical records remain, and commissions that were already eligible or approved aren't deleted or automatically cancelled — Xeaura continues to handle them under Sections 5 and 6.
8.3 Xeaura may reinstate a suspended partnership. After reinstatement, sign in to the partner portal with a new sign-in link.
9. Taxes and records
9.1 You're responsible for any taxes on commissions you receive. Before paying commissions, Xeaura may ask you for tax information it needs; that's handled outside the website.
9.2 Xeaura's records of referrals, commissions, and payouts determine the amounts owed. Your partner portal shows each referral's date, business type, and status, and your commission amounts once they're locked. You can ask Xeaura for a summary of your records at any time.
10. Privacy
10.1 You don't receive referred businesses' names, contact details, or other private information through the Program — only the referral date, business type, a general status, and your commission status.
10.2 Xeaura handles your information as described in its Privacy Policy at xeaura.com/privacy.
11. Versions and changes
11.1 These Terms show a version number and effective date at the top. When Xeaura changes them, it publishes the new version on this page with a new version number, and your partner portal shows a notice asking you to review and accept it. Xeaura records each version you accept and when, and keeps your earlier acceptance records.
11.2 A new version applies to you once you accept it. Xeaura may suspend a partnership whose partner doesn't accept a new version. Changes never alter a commission that's already locked (Section 4.5).
12. Liability
12.1 To the extent the law allows, Xeaura's total liability to you under these Terms is limited to commissions owed to you and not yet paid, and neither party is liable to the other for indirect or consequential damages.
13. Governing law and disputes
13.1 These Terms are governed by the laws of the State of California. Disputes are first addressed through good-faith negotiation; if unresolved after 30 days, either party may bring the dispute in the state or federal courts with jurisdiction over Xeaura's principal place of business in California.
14. Entire agreement and precedence
14.1 These Terms are the entire agreement about the Program. If xeaura.com/partners, the partner portal, or any email about the Program differs from these Terms, these Terms control. If any part of these Terms is unenforceable, the rest remains in effect.
14.2 Questions about these Terms: contact@xeaura.com.
